1. Acceptance of the Terms of Use
These Virtual Event Terms & Conditions (this “Agreement”) govern your participation in the Knit Happy Summit (the “Virtual Event”) hosted by Jessica Ays (hereinafter referred to as “Company”, “we,” “us,” or “our”) from November 6-9, 2025. The following terms and conditions, together with our website Terms & Conditions and Privacy Policy and any notices contained or referenced herein or therein, govern your participation in the Virtual Event. Please read this Agreement in its entirety before you proceed with your registration.
2. Registration
Your registration for the Virtual Event entitles you to free access to watch the pre-recorded presentations for 48 hours from when they are made available. Your purchase of the VIP Happy Knitters Toolkit entitles you to ongoing and unlimited access to more than 25 speaker presentations, with the opportunity to attend 3 live VIP-only Zoom sessions, and a limited time opportunity to claim downloadable bonuses from the Virtual Event speakers by signing up for their individual email lists to access their content. When registering, please make sure you have provided your correct email address, as important details regarding the Virtual Event will be sent to that email address. Also, by providing your email address, you are opting into our email list to be notified of future events (though you may opt out of that list at any time by unsubscribing).
3. Payment
3.1 Registration Fee. There is no charge for basic access to the Virtual Event, however, if you wish to upgrade to the VIP Happy Knitters Toolkit, the purchase fee for that upgrade is due at the time of registration. If your payment is insufficient, declined, or later charged back, Company may cancel your purchase of the VIP Happy Knitters Toolkit. If you do not access the VIP Happy Knitters Toolkit, you are still responsible for payment in full. All sales are final, and the purchase fee will not refunded unless Company fails to hold the Virtual Event.
3.2 Payment Processors. We use a third-party payment processor to process payment for your upgrade to the VIP Happy Knitters Toolkit, and by purchasing that upgrade, you authorize such payment processor to charge your payment method in connection therewith. You are responsible for the payment of any sales or other governmental taxes or fees due in connection with your registration. It is your responsibility to provide a valid method of payment for your registration. To complete your purchase, you will be asked for personal information including your name, billing address, and credit card information. You agree that the personal information you provide will be complete and accurate. We use PayPal and Stripe, which has their own Terms & Conditions and Privacy Policy that you will be subject to.
4. Changes to the Virtual Event
Company reserves the right to change aspects of the Virtual Event, including, without limitation, the name, date, and time of the Virtual Event and the content of and speakers for the Virtual Event. If Company reschedules the Virtual Event and you have upgraded to the VIP Happy Knitters Toolkit, your purchase fee will be applied to the rescheduled date.
5. Prohibited Conduct
5.1 No Transfers Permitted. Your registration for the Virtual Event is for your access to the Virtual Event and may not be transferred to (nor access shared with) any third party without Company’s permission.
5.2 Disruptive Conduct. Company may remove you from the Virtual Event if your conduct (as determined by Company in its sole discretion) disturbs, disrupts, or hinders the Virtual Event or the attendance of the Virtual Event by other attendees.
5.3 No Recording. You may not photograph, record, or screenshot any part of the Virtual Event.
6. Intellectual Property
As part of the Virtual Event, you will be provided educational content (plus accompanying material) (collectively, the “Educational Content”) which is property of Company or the providers of such material. The Educational Content is protected under United States and international copyright, trademark, and other intellectual property and unfair competition laws. When you register for the Virtual Event, you will be granted a non-commercial, non-exclusive, and non-transferable license to use the Educational Content for your personal use, which may include internal business use if you are a business owner. In connection with such grant, you agree not to copy, duplicate, delete, steal, modify, publish, display, distribute, reproduce, store, transmit, post, create derivative works from, reverse engineer, sell, rent or license any part of the Educational Content in any way, without our prior written consent. In addition, you agree that you shall not create any products that compete with the Virtual Event based on any information you acquired from the Virtual Event. In attending the Virtual Event, you agree to abide by all copyright, trademark, and other intellectual property laws, and you shall be solely responsible for any violations thereof.
7. Your Likeness
You acknowledge that your image, likeness, and voice will be made public to other attendees of the Virtual Event and included in the recording of the Virtual Event if you turn on your camera or speak during the Virtual Event. In such event, you hereby give permission to Company to use your image, likeness, and voice in any such recording, which recording will be provided to other Virtual Event registrants and may be used by Company for marketing and promotional purposes.
8. No Guarantee
You accept and understand that each attendee of the Virtual Event receives results which differ from attendee to attendee and that Company expressly disclaims all responsibility in any way for your choices, actions, results, use, misuse, or non-use of the information provided or obtained through the Virtual Event. You agree that your results are strictly your own, and we are not responsible in any way for your results. In furtherance of the foregoing, Company has not and does not make any representations to you as to future income, expenses, sales volume, or potential profitability or loss of any kind that may be derived as a result of your attendance at the Virtual Event. We do not make any guarantees in terms of particular results, positive, negative, financial or otherwise through attendance at the Virtual Event.
9. Disclaimer of Warranties
THE VIRTUAL EVENT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEITHER COMPANY NOR ANY ASSOCIATED PERSON OR AFFILIATE OF COMPANY, MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE FOLLOWING:
THE COMPLETENESS, QUALITY, OR ACCURACY OF THE VIRTUAL EVENT AND EDUCATIONAL CONTENT;
THAT THE VIRTUAL EVENT AND EDUCATIONAL CONTENT WILL HELP YOU ACHIEVE CERTAIN RESULTS; OR
THAT THE VIRTUAL EVENT AND EDUCATIONAL CONTENT WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY HEREBY DISCLAIMS, WITHOUT LIMIT, FOR THE VIRTUAL EVENT AND EDUCATIONAL CONTENT, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. Limitation of Liability
Company shall not be liable for any claims, demands, actions, suits, obligations, losses, damages, liabilities, expenses or costs, arising out of or relating to the Virtual Event, the Educational Content, or your attendance at or use of the foregoing.
In connection with this Agreement, in no event shall Company or its officers, employees, managers, directors, partners, members, agents, contractors, shareholders, affiliates, licensors, successors, or assigns have any liability to you for any direct, indirect, special, incidental, multiple, exemplary, punitive, or consequential damages, or for lost profits, loss of use, business interruption, costs of procurement of substitute goods or services, either in contract, tort or under any other theory of liability, whether or not the possibility of such damage has been advised to you.
In no event shall Company’s maximum liability hereunder exceed the amount paid by you to Company hereunder, whether in contract, tort or under any other theory of liability.
No personal liability shall accrue hereunder against any individual, member, partner, officer, director, representative, employee, contractor, trustee, fiduciary, or principal (disclosed or undisclosed) of Company.
11. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Company and its officers, employees, managers, directors, partners, members, agents, contractors, shareholders, affiliates, licensors, successors, and assigns from and against any and all costs, claims, losses, damages, liabilities, expenses, fees, demands, and judgments, including court costs and attorney’s fees, which may arise out of your violation of this Agreement; your attendance at the Virtual Summit; or your use of the Educational Content.
12. Dispute Resolution
You and Company agree to first attempt to settle in good faith any disputes arising out of this Agreement through private mediation in-person in Nassau County, New York or virtually via remote technology, with a mutually agreed-upon mediator before initiating any litigation or other dispute resolution procedure. The parties agree that the mediator may not disregard the terms of this Agreement for purposes of the mediation. Any costs and fees other than attorney fees associated with the mediation will be shared equally between the parties. If the dispute is not resolved at mediation, the parties agree that the matter may be resolved in a court of law.
13. Governing Law and Jurisdiction
This Agreement, and all matters arising out of or related to (directly or indirectly) this Agreement (including tort claims), is governed by the laws of the State of New York, without giving effect to its principles of conflicts of law, and any litigation arising therefrom must be handled exclusively in the federal or state courts located in County of Nassau.
14. Entire Agreement
This Agreement, together with our website Terms & Conditions and Privacy Policy (collectively, the “Company Policies”), contain the entire agreement between you and Company with regard to the Virtual Summit. The Company Policies supersede any prior written or oral agreements between you and Company.
15. Severability
If any provision of this Agreement is held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
16. Attorney’s Fees
If any litigation is brought by either party against the other either to enforce the rights of any party hereto or to clarify rights and obligations hereunder, the prevailing party shall be entitled to recover from the other party thereto the reasonable costs and expenses, including reasonable attorneys’ fees and costs, of such proceeding.

10. Limitation of Liability
